IMPORTANT DISCLAIMER — READ BEFORE USE: Rah-AI: The Scout provides statistical profile analysis for internal planning purposes only. Outputs generated by this platform, including player tier scores, projected NIL value ranges, and any exported reports or documents, are NOT certifications of Fair Market Value, do NOT constitute legal or compliance advice, and are NOT intended for submission to NIL Go, Deloitte, the College Sports Commission (CSC), or any other regulatory clearinghouse or arbitration proceeding. Use of platform outputs as evidence of fair market value in any legal, regulatory, or arbitration context is expressly prohibited.

1. Acceptance of Terms

By accessing or using the Rah-AI: The Scout platform (the "Platform"), operated by Epicentra LLC ("Epicentra," "we," "our," or "us"), you ("User" or "Institution") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Platform. These Terms govern your use of all features, data outputs, exported documents, and services provided through the Platform.

2. Nature of the Service

2.1 Internal Planning Tool Only

The Platform is designed and licensed exclusively as an internal decision-support tool for college athletic departments, coaching staff, and authorized institutional personnel. It is not intended for, and must not be used as, a consumer-facing product, a player-facing advisory service, a NIL agent or collective platform, or a fair market value certification service.

2.2 No FMV Certification

PLATFORM OUTPUTS ARE NOT FAIR MARKET VALUE CERTIFICATIONS. Rah-AI: The Scout does not certify, verify, or guarantee the fair market value of any student-athlete's name, image, or likeness rights. All projected NIL value ranges, tier scores, and profile evaluations are algorithmic estimates based on publicly available statistical data and are provided for internal planning purposes only.

Outputs must not be presented to student-athletes, agents, advisors, or legal representatives as valuations, nor submitted to NIL Go, the College Sports Commission, Deloitte, or any other regulatory body, clearinghouse, or arbitration panel as evidence of fair market value.

2.3 No Legal or Compliance Advice

Nothing on the Platform constitutes legal advice, compliance advice, or a legal opinion under applicable NCAA bylaws, CSC regulations, state law, or federal law. Users should consult qualified legal counsel for all compliance determinations.

2.4 Publicly Available Data

All player profile data used by the Platform is sourced exclusively from publicly available sources, including ESPN, On3, 247Sports, and the public NCAA Transfer Portal. Epicentra does not receive, process, or store student education records, as defined under the Family Educational Rights and Privacy Act (FERPA), from subscribing institutions. Institutions must not upload, submit, or transmit FERPA-protected student records to the Platform.

3. Platform Output Restrictions

3.1 Internal Use Only

All outputs generated by the Platform — including on-screen evaluations, tier scores, NIL value projections, and any exported PDF or print reports ("Output Documents") — are licensed to the subscribing Institution for internal use only. Output Documents may be shared internally among authorized personnel of the subscribing Institution, including athletic directors, compliance officers, and coaching staff, solely for internal roster planning, recruiting evaluation, and transfer portal analysis.

3.2 Prohibited Uses of Output Documents

THE FOLLOWING USES OF PLATFORM OUTPUTS AND EXPORTED DOCUMENTS ARE STRICTLY PROHIBITED:

3.3 Output Document Watermarking and Disclaimers

All Output Documents generated or exported from the Platform will include the following notice on every page, which must not be removed, obscured, cropped, or modified:

"FOR INTERNAL PLANNING USE ONLY — NOT AN FMV CERTIFICATION — NOT FOR SUBMISSION TO NIL GO OR ANY REGULATORY BODY. Generated by Rah-AI: The Scout / Epicentra LLC. Unauthorized distribution or use in regulatory proceedings is a violation of the Platform Terms of Service."

Removal or modification of watermarks or disclaimer notices from Output Documents constitutes a material breach of these Terms and may result in immediate termination of access.

3.4 Output Audit Trail

The Platform logs all Output Document generation events, including the username, institution, player profile evaluated, timestamp, and output parameters. These logs are maintained by Epicentra for a period of not less than three (3) years and may be used to investigate misuse of Platform outputs or breaches of these Terms.

4. Data Privacy and Student Athlete Protection

4.1 FERPA Compliance

The Platform does not receive education records from subscribing Institutions and is not a "school official" as defined under FERPA for purposes of the Institution's use of the Platform. Institutions must not transmit, upload, or otherwise provide FERPA-protected student records to the Platform. Epicentra is not responsible for any FERPA compliance obligations arising from an Institution's unauthorized transmission of student education records.

4.2 Publicly Available Data Only

All player data used in generating Platform outputs is sourced from publicly available sources. Epicentra does not purchase, license, or obtain player data directly from institutions, conferences, or the NCAA. Institutions using the Platform acknowledge that outputs are derived from public data and may not reflect complete or fully accurate player records.

4.3 Data Processing Addendum

Subscribing Institutions are required to execute a Data Processing Addendum (DPA) prior to accessing the Platform. The DPA governs Epicentra's role as data processor, specifies permitted data uses, prohibits unauthorized re-disclosure, confirms U.S.-based data storage, and addresses applicable state student data privacy laws including the California Student Online Personal Information Protection Act (SOPIPA) and New York Education Law §2-d.

4.4 Student-Athlete Data Sensitivity

Epicentra recognizes that college athletic departments operate in an environment governed by student-athlete rights, privacy expectations, and evolving federal and state law. Platform outputs must not be used in any manner that violates a student-athlete's rights under applicable law, including but not limited to privacy rights, anti-discrimination protections, and rights arising under the House v. NCAA settlement framework.

4.5 Psychometric and Mental Health Data

The Platform's "Mental Health Curving" feature, when available, incorporates a psychometric scoring layer that adjusts statistical valuations. This feature is subject to separate consent, disclosure, and data handling requirements. Institutions may not enable or use this feature without executing a separate Psychometric Data Addendum, which includes student-athlete consent protocols, data use restrictions, and applicable HIPAA-adjacent and ADA compliance provisions. This feature will not be activated for any subscribing Institution without the executed addendum on file.

5. Intellectual Property

5.1 Platform Ownership

The Platform, including all software, algorithms, machine learning models, scoring methodologies, feature engineering, weighting logic, and underlying code, is the exclusive property of Epicentra LLC. All rights are reserved. No use of the Platform grants the User any ownership interest, license to reproduce, reverse engineer, decompile, or derive competitive products from the Platform's methodologies.

5.2 Output Document Ownership

Output Documents generated by the Platform are licensed — not sold — to the subscribing Institution for internal planning use subject to the restrictions in Section 3. Epicentra retains ownership of the underlying methodology and scoring logic reflected in all Output Documents.

5.3 Trademark

"Rah-AI," "The Scout," and "Rah-AI: The Scout" are trademarks of Epicentra LLC, registered or pending registration in Class 9 and Class 42. Unauthorized use of these marks is prohibited.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EPICENTRA LLC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

Epicentra's total cumulative liability to any Institution under these Terms shall not exceed the total fees paid by that Institution in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Epicentra LLC and its members, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your submission of Platform outputs to any regulatory body, clearinghouse, or arbitration panel; (c) any claim by a student-athlete or third party arising from your use of Output Documents; or (d) your violation of any applicable law, NCAA bylaw, or CSC regulation.

8. Modifications

Epicentra reserves the right to modify these Terms at any time. Continued use of the Platform following notice of modifications constitutes acceptance of the updated Terms. Institutions with executed contracts will be notified of material changes at least thirty (30) days in advance.

9. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Suffolk County, Massachusetts.
